1. Acceptance of Terms
By accessing and using DashAPI (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
These Terms of Service ("Terms") constitute the entire agreement between you and DashAPI, Inc. ("Company," "we," or "us") regarding your use of our website, products, and services. Your use of DashAPI signifies that you have read, understood, and agree to be bound by all the terms and conditions outlined herein.
2. Service Description
DashAPI is an agentic platform designed to provide enterprise automation, intelligent data management, and actionable insights. The Service is provided on an "as-is" and "as-available" basis.
We reserve the right to modify or discontinue the Service or any features thereof with or without notice. We shall not be liable to you or any third-party for any modification, price change, suspension, or discontinuance of the Service.
3. User Accounts and Registration
To access certain features of the Service, you may be required to register for an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- Restricting access to your account from unauthorized persons
- Being responsible for all activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
You agree to provide accurate and complete information during registration and to keep such information updated. Any false or misleading information may result in immediate account termination.
4. Acceptable Use Policy
You agree not to use the Service for any unlawful purposes or in any way that could damage, disable, or impair the Service. Prohibited conduct includes:

5. Intellectual Property Rights

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. This license does not include any right to:
- Modify or copy the material
- Use the material for commercial purposes or for any public display
- Attempt to decompile or reverse engineer any software contained on the Service
- Remove any copyright or other proprietary notations from the material
- Transfer the material to another person or "mirror" the material on any other server
6. User-Generated Content
You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). However, by submitting User Content, you grant DashAPI a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display such content in connection with operating and improving the Service.
You represent and warrant that you own or have the necessary rights to User Content and that such content does not violate any applicable laws or infringe upon any third-party rights. DashAPI reserves the right to remove User Content that violates these Terms.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection and use of your personal information.
You are responsible for ensuring that any data you upload or process through the Service complies with applicable data protection laws and regulations, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DASHAPI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH DASHAPI SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO DASHAPI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DASHAPI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
DASHAPI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.
10. Indemnification
You agree to indemnify, defend, and hold harmless DashAPI and its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.
11. Termination
DashAPI may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Causes for termination include, but are not limited to:
- Violation of these Terms
- Non-payment of fees
- Unlawful or harmful conduct
- Inactivity for an extended period
Upon termination, your right to use the Service will immediately cease. DashAPI shall not be liable to you or any third-party for any termination or suspension of your account.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the federal or state courts located in San Francisco, California.
You consent to the personal jurisdiction of such courts and waive any objection to venue or any claim that such courts are an inconvenient forum.
13. Third-Party Links and Content
The Service may contain links to third-party websites and services that are not operated by DashAPI. DashAPI is not responsible for and does not endorse any third-party websites, products, or services accessible through links on the Service.
Your access to and use of third-party websites is entirely at your own risk and subject to the terms and conditions of those third parties. We encourage you to review the terms and privacy policies of any third-party websites before providing personal information.
14. Modifications to Terms
DashAPI reserves the right to modify these Terms at any time without notice. Your continued use of the Service following any modifications constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically for updates.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or terms referenced herein, constitute the entire agreement between you and DashAPI regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions between you and DashAPI, whether oral or written.
